1. User's Acknowledgment and Acceptance of Terms

True Game Stats LLC ("us," "we," or "our") provides the TrueGameStats mobile application (the “App”) and various related services (collectively, the "Service") to you, the user, subject to your compliance with all the terms, conditions, and notices contained or referenced herein (the "Terms of Use"), as well as our Privacy Policy.

BY DOWNLOADING, INSTALLING, ACCESSING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. IF YOU DO NOT WISH TO BE BOUND BY THESE TERMS OF USE, PLEASE UNINSTALL AND CEASE ALL USE OF THE APP IMMEDIATELY. YOUR REMEDY FOR DISSATISFACTION WITH THE APP, OR ANY PRODUCTS, SERVICES, OR CONTENT AVAILABLE THROUGH THE APP, IS TO STOP USING THE APP. YOUR AGREEMENT WITH US REGARDING COMPLIANCE WITH THESE TERMS OF USE BECOMES EFFECTIVE IMMEDIATELY UPON COMMENCEMENT OF YOUR USE OF THE APP.

We expressly reserve the right to change these Terms of Use from time to time. We will provide notice of material changes by posting the updated Terms of Use within the App and updating the "Last Updated" date. You acknowledge and agree that it is your responsibility to review these Terms of Use periodically and to familiarize yourself with any modifications. Your continued use of the App after such modifications will constitute acknowledgement of the modified Terms of Use and agreement to abide and be bound by them.

2. Description of Services

We make various services available through the App, including, but not limited to, sports betting data, analytics, odds, news, analysis, and other related content (collectively, the "Services"). You are responsible for providing, at your own expense, all equipment necessary to use the Services, including a compatible mobile device and internet access.

The content and Services of the App are intended for informational and entertainment purposes only. Please be aware of and respect the laws regarding sports betting for your jurisdiction. By creating an account and/or using the Services, you represent and warrant that you are of legal age to form a binding contract and are at least twenty-one (21) years of age or older.

We reserve the sole right to either modify or discontinue the App, including any of its features, at any time with or without notice to you. We will not be liable to you or any third party should we exercise such right.

2.A. Assumption of Risk and No Guarantee of Performance

You acknowledge and agree that all betting recommendations, picks, and analysis provided within the Service are for informational and entertainment purposes only. Sports betting is an inherently risky activity that can result in the loss of your entire staked capital.

True Game Stats LLC makes absolutely no guarantee or warranty, express or implied, as to the accuracy, completeness, or profitability of any information or recommendations provided. Past performance of our recommendations is not indicative of future results.

You are solely responsible for any and all financial decisions you make. By using the Service, you expressly agree that you are making any and all decisions to place wagers at your own risk and that you will not hold True Game Stats LLC or its affiliates liable for any losses or damages incurred from wagers placed based on information or recommendations provided by the Service.

3. Registration Data and Privacy

To access some of the Services, you may be required to create an account. By registering, you agree that all information you provide is true and accurate and that you will maintain and update this information as required. The information we obtain through your use of the App, including your registration data, is subject to our Privacy Policy, which is specifically incorporated by reference into these Terms of Use.

4. Conduct on the App

Your use of the App is subject to all applicable laws and regulations. By using any interactive service that may be available to you on or through the App, you agree that you will not upload, post, or otherwise distribute any content that:

• is unlawful, threatening, abusive, harassing, defamatory, fraudulent, or invasive of another’s privacy;

• victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;

• infringes on any patent, trademark, trade secret, copyright, or other proprietary right of any party;

• constitutes unauthorized or unsolicited advertising, junk or bulk email ("spamming"), or any form of lottery or gambling;

• contains software viruses or any other computer code designed to disrupt, damage, or limit the functioning of any software or hardware; or

• impersonates any person or entity, including any of our employees or representatives.

We reserve the right, in our sole discretion, to remove any content that, in our judgment, does not comply with these Terms of Use. You agree that we may, at any time and in our sole discretion, terminate your account without prior notice to you for violating any of the above provisions.

5. Third-Party Services and Information

The App may link you to third-party websites or services, or otherwise include references to information or services provided by other parties. Such third-party services are not under our control, and you acknowledge that we are not responsible for the accuracy, legality, or any other aspect of the content of such services.

By accepting these Terms of Use, you acknowledge and agree that all content presented to you on the App is protected by copyrights, trademarks, service marks, patents, or other proprietary rights and laws, and is the sole property of True Game Stats LLC and/or its affiliates. You may not copy, reproduce, modify, republish, transmit, or distribute any content from the App in any form without our prior written permission. All custom graphics, icons, logos, and service names are trademarks or service marks of True Game Stats LLC.

7. Unauthorized Use of Materials (DMCA Policy)

We respect the intellectual property of others. If you believe your copyright has been infringed by a posting on the App, you should send a notification to our Designated Agent immediately as outlined by the Digital Millennium Copyright Act (DMCA). 8. Disclaimer of Warranties

ALL MATERIALS, CONTENT, AND SERVICES ON THE APP ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THE WARRANTY OF NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT THE RESULTS OBTAINED WILL BE ACCURATE OR RELIABLE. USE OF THE SERVICES IS DONE AT YOUR OWN DISCRETION AND RISK. SPECIFICALLY, WE MAKE NO WARRANTY REGARDING THE PROFITABILITY OF ANY BETTING RECOMMENDATIONS OR OUTCOME OF ANY SPORTING EVENT.

9. Limitation of Liability

IN NO EVENT SHALL WE OR OUR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, THOSE RESULTING FROM FINANCIAL LOSSES FROM WAGERS, LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE APP. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00). SOME JURISDICTIONS PROHIBIT THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold us and our affiliates harmless from all third-party liabilities, claims, and expenses, including attorneys’ fees, that arise from your use or misuse of the App or violation of these Terms of Use.

11. International Use

Although the App may be accessible worldwide, we make no representation that materials on the App are appropriate or available for use in locations outside the United States. Accessing them from territories where their contents are illegal is prohibited.

12. Termination of Use

You agree that we may, in our sole discretion, terminate or suspend your access to all or part of the App with or without notice and for any reason, including, without limitation, breach of these Terms of Use.

13. Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. You agree to submit to the exclusive personal jurisdiction and venue of the state and federal courts located in Michigan for the resolution of any disputes.

14. Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and True Game Stats LLC with respect to the App and supersede all prior or contemporaneous communications and proposals.

15. Miscellaneous If any provision of these Terms of Use is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced. You may not assign your rights and obligations under these Terms of Use to any party. We may freely assign our rights and obligations.
